    CONTRACT FOR SALE OF REAL PROPERTY

    C)

    In accordance with Contract Law of the Peoples Republic of China and relevant laws, administrative

    regulations and Chengdu municipal regulations, Party A, Party B and Party C hereby conclude this

    Contract based on legal, equal, voluntary and mutual trust principles.

    Article 1 Profile of House

    Party A is willing to sell its house (hereinafter called the House), located in

    ( )to Party B via Party C. Through Party Cs introduction, Party B has made a full investigation on the House

    and has got a full understanding on it, and has no objection to the House and is willing to buy the House.

    Proprietor of the House is Party A, if the proprietor is more than two persons, then the two persons shall

    present the signing site while the Contract is signed. If Party A or co-owner is absent, the entrusted party

    must present the authorized letter of attorney and declaration that have been subject to notarization.

    Article 2 Purchase Price

    Actual purchase price agreed by Party A and Party B is as follows:

     1. Whereas Party C will provide mediacy service, therefore, Party A shall pay mediacy service charge

    Article 3to Party C in cash at 1% of purchase price while Party A is signing the Contract. The mediacy service

    charge shall be RMB (In Word) Yuan Only (Figure:

     Yuan Only).

    2. Whereas Party C will provide mediacy service, therefore, Party B shall pay mediacy service charge to

    Party C in cash at 1.5 % of purchase price while Party B is signing the Contract. The mediacy service

    charge shall be RMB (In Word) Yuan Only (Figure:

     Yuan Only).

    Article 4 Term of Payment Interest is not applicable for clauses hereunder

    1Clauses for payment by Party B to Party AParty C shall receive the following sums from Party B on

    behalf of Party A):

    (1)Party B shall pay deposit on __________(date)

    This sum will be transferred as house payment automatically after this Contract is signed.

    (2)If no loan is granted to Party B Party B shall pay the balance of house payment before

    Yuan OnlyFigure:¥ Yuan Onlyfor the purpose of handling bank loan, and pay to

    Party C after the bank has granted this loan. Insufficient part of loan shall be paid in cash in lump

    sum.

     2Clauses for Payment by Party C to Party A

    

    (1) If no loan is granted to Party B: after formality of ownership transfer of the House has been

    handled, and Party A and Party B have acknowledged that the House, auxiliary facilities, relevant

    expenses and formalities have been handed over completely, then Party C shall pay off the sum

    in full amount within three working days after Party A and Party B have affixed their signatures

    unto the Notice for Settlement (payment shall be extended accordingly in the case of public

    holidays).

    (2) If any loan is granted to Party B: after formality of ownership transfer of the House has been

    handled, and the bank has transferred the loan to Party Cs account, and Party A and Party B have

    acknowledged auxiliary facilities and relevant expenses of the House have been handed over

    completely and after Party A and Party B have affixed their signatures unto the Notice for

    Settlement, then Party C shall pay off the sum in full amount to Party A within three working

    days after (payment shall be extended accordingly in the case of public holidays).

    (3)

    

    Remark: After Party A and Party B have submitted formalities and relevant payment as specified, Party

    C shall start to handle formality for ownership transfer of the House. If Party A and Party B have

    submitted error formalities, or payment has not been paid enough in time, then Party C shall be entitled

    to delay handling formalities for ownership transfer and loan. In the case of delay in payment caused

     Relevant Matters by change of the states policy or due to the banks reason, then Party C shall bear no responsibility.

    1. If Party B needs loan, expenses relating to handling the loan shall be borne by Party B. Article 5

    Party C shall provide Party A and Party B with transaction information, and assist Party A and Party B

    in handling formalities of ownership transfer.

    3. Party C shall ensure safety of the transaction capital deposited in Party C, and shall ensure title deed

    transferred to be true and effective.

    4. Party A shall remove all articles from the House before ___________(date) and hand over the key

    to Party C, then Party C shall assist Party A and Party B to handle hand-over formality of the property.

    Article 6 Responsibility for Breach of Contract

    1. Party A must guarantee that ownership of the House is not involved in any dispute, any ownership dispute or

    liability dispute relating to the House of Party A, Party As change of callused under the Contract during the

    execution of the Contract shall be deemed as Party As breach of contract, hence, Party A shall be responsible for

    responsibility for breach of contract. Party A shall pay Party B 10% of purchase price as liquidated

    damages for such breach of contract

    2. Party B shall pay all fees payable, including deposit, house payment and mediacy service charges

    within time limit specified herein. Delay for three days in paying the said expenses shall be deemed as

    Party Bs breach of contract, then Party A is entitled to terminate the Contract and dispose the House

    at its discretion, meanwhile, deposit and mediacy service charges paid by Party B shall not be

    refunded, and Party B shall pay Party A 10% of purchase price as liquidated damages.

    3. In the case of breach of contract of Party A or Party B, the party in breach shall pay Party C 2.5% of

    purchase price as liquidated damages.

    Article 7 Exclusion

    Party A, B and C shall bear no responsibility for breach of contract due to failure to execute the

    Contract caused by force majeure.

     Other

    1. Any disputes arising from execution of the Contract shall be settled by the said three parties through

    consultation, if they fail to do so, any party can file a suit in the people's court in the place where the Article 8Contract is signed.

    2.The Contract becomes effective after three parties have affixed their signatures; it is made in

    triplicate with three pages each copy, having same legal binding upon three parties. Three parties shall

    hold one copy respectively. Party B shall present original of the Contract to the bank while handling

    formality for bank loan, and reserve the copy of the Contract.

    Article 9 Other supplementary clauses

Special Notes:

    1. All brokers (advisers) of our company shall not receive any house payment and taxes

    (expenses) paid by clients.

     2. Please assist the clerk appointed by our company to save your house payment, other

    payment and service charge into the special house account of our company, and ask for an

    receipt affixed with Special Seal For Collection of Payment of our company.

     3. Our company bears no responsibility if you directly hand over house payment and taxes/expenses to

    individuals (advisers) of our company.
