Continuing our quest for excellence & superior quest services, Hotel Pondicherry Ashok

    invites Private Partner or consortium of partners interested in establishing World Class State

    of the Art Destination Residential SPA in the premises of Hotel Pondicherry Ashok on BOT

    Basis. The Destination SPA is proposed on a land area measuring approx. 2 Acres, on the

    Beach front adjoining the Hotel Building. The proposed Destination SPA will be only one of

    its kind in the region & will provide international standard treatments & therapies to its

    clients.

We are looking for a reputed & financially sound partner with a minimum of 3 years of

    experience of managing / operating / running at least one SPA in India with emphasis on

    Destination SPA & international standard SPA & Health Club of repute Putting Green

    including Swimming Pool on a license basis. Interested parties may apply on or before

    18.12.2007 at 1400 hrs.

    SYNOPSIS OF THE PROJECT

Pondicherry Ashok Hotel Corporation Limited (PAHCL) is a Joint Venture Company of

    India Tourism Development Corporation Limited (ITDC) & Pondicherry Industrial

    Promotion, Development & Investment Corporation Limited (PIPDIC) established in the year

    1989 with a vision to promote tourism in Puducherry, to cater the various requirements of

    tourist visiting Puducherry, promote national integration, help removal of regional in

    balances and generate employment opportunities in Puducherry.

    of the Art Destination Residential SPA on a license basis in premises of Hotel Pondicherry

    Ashok on BOT (Build Operate & Transfer) basis. The Destination SPA is proposed on land

    area measuring approximately 2 Acres, on beach front adjoining the hotel building. The

    proposed Destination SPA will be only one of its kind in the region and will provide

    international standard treatments and therapies to its clients.

PAHCL invites for Expression of Interest (EOI) from reputed national & international Firms

    with necessary experience and expertise in managing/operating/running at least on SPA in

    India with emphasis on Destination SPA and International Standard SPA & Health Club of

    repute including the Swimming Pool and Putting Green on BOT basis.

The Expression of Interest (EOI) is invited as per details given below.

    1. The Tenderer should have minimum 3 years experience of managing /

    operating / running at least one SPA in India with Emphasis on Destination

    Spa and International Standard SPA & Health Club of repute including a

    Swimming Pool and Putting Green.

    2. The Site of International Standard Residential SPA is located at the

    premises of Hotel Pondicherry Ashok measuring approximately 2 Acres of

    land adjacent to Hotel’ s main building at Kalapet and will be built by

    private party on BOT basis.

    3. The facilities to be provide in SPA shall consist of rejuvenating SPA, Body

    Treatment, Beauty Therapy, Steam Bath, Sauna Bath, Gym, Jacuzzi,

    Massage, Yoga, Aerobics, Swimming Pool for Ladies & Gents both along

     with 12-15 cottages/guest rooms and Putting Green which are to be

    4. constructed/made by the Licensee. The Tenderer may inspect the premises The initial period of license will be 10 years. The lease period can further

    be extended to 2 terms of 5 years each on mutual agreement. The property on working day between 11.00 A.M to 04.00 P.M.

    including all equipments, machineries etc., in working condition will be

    handed over to PHACL after completion of the license period.

5. The Tenderer should be financially sound. The parties participating in the

    tenders should have minimum 3 years experience of managing / operating

    /running an international SPA and Health Club & Putting Green of repute

    with at least one SPA international in India with emphasis of Destination

    SPA. Details of SPA and concept should be included in the Technical Bid.

    The Group turnover of the aspirant tenderer should not be less than Rs.50

    Crore per annum for the last three years.

6. The tenderer shall submit Financial Bid as well as Technical Bid with

    enclosures in separate sealed covers, which may be put together in main

    sealed cover. The Management will first open the Technical Bid. The

    tenderers who will be found technically suitable, based on technical details

    and assessment of their presentation of the proposals will only be

    considered for Financial Bid.

7. Each Tenderer shall deposit Rs.6,00,000/- (Rupees Six Lakh only) towards

    Earnest Money Deposit (EMD) in the form of Bank Drafts drawn on any

    Nationalized Banks in favour of Hotel Pondicherry Ashok payable at

    Puducherry. The draft may be enclosed with tender of Technical Bid. The

    Tenders received without the EMD (Earnest Money Deposit) shall be

    summarily rejected. Cheques will not be accepted towards EMD.

I/We, the undersigned having gone through the tender documents, inspected the premises at

    Hotel Pondicherry Ashok and after having read and understood all the Terms and Conditions

    of the Tender Document, submit the following tender documents :-

    (a) TECHNICAL BID, (Annexure-I), (Page 3 to 5)

    (b) The important information / Eligibility Criteria (Annexure-II (Page 6 to 10),

    duly signed.

    (c) Draft License Deed, (Annexure-III) (Page 11 to 22), duly signed.

    (d) Physical Inspection of the Area/Space in token of having known the

    measurement of total area and its location (Annexure-IV), (Page 24 ), duly

    signed and

    (e) FINANCIAL BID, (Annexure-V), (Page 25 to 26), duly signed

    2. My/Our Tender is valid for a period of 90 days from the date of opening of Financial

    Bid. I/we are fully aware that no changes in the rules or terms & conditions of the

    tender are permitted due to any reason. In case, I/We, withdraw this tender before this

    period or delay in occupying the licensed premises or commencing the business

    operations within the stipulated period, the Earnest Money Deposit shall be forfeited.

    3. I/We agree to engage qualified and trained staff fully conversant with the job and

    shall bear their salaries, wages and perks in accordance with the laid down laws and

    rules. I/We shall also adhere to Labour Laws, Social Legislation or any law as

    required under the Laws of the Land, in force or which may come in force

    subsequently during currency of the agreement.

4. I/We, agree to use the licensed premises for running the business awarded only and

    shall not use the same for any other purpose/business.

5. I/We, agree to submit an affidavit, duly supported with the Bankers’ Solvency

    Certificate and other documentary evidence about my/our interest in the properties as

    disclosed by me/us (as per signed list enclosed) during the currency of the agreement.

6. I/We, agree to abide by all terms and conditions as contained in the Tender

    Documents as well as the License Agreement. I/We have understood that the

    conditional tender will be liable for rejection. Further, I/We have understood that the

    decision of the Management is final and the Management of Hotel Pondicherry Ashok

    is not bound to accept the highest or any other tender it may receive. Expenses

    incurred by the Tenderer in presenting or submitting this Tender or preparation etc.

    will not be reimbursed/refunded in the event of its rejection.

7. I/We, agree to deposit the “Security” amount as per clause of Annexure-II of the

    Tender Document within 10 days and sign the license agreement and take the

    possession of the premises of International Standard Residential Destination Spa area

    on “as is where is basis” within 20 days and start the actual operations of the

    International Standard Destination Spa within 180 days from the date of receipt of

    Letter of intent. I/We further agree to pay the license fee with effect from 181st day of

    receipt of Letter of intent.

    8. I/We agree that PAHCL Unit : Hotel Pondicherry Ashok, reserves the right to reject

    any or all tenders without assigning any reason thereof.

    9. I/We agree to arrange for site inspection of my/our existing Spa if required by Hotel

    and also make a technical presentation if desired by the PAHCL authorities.

INSTRUCTIONS :

    a) In case of sole proprietary concern, the name of the proprietor, father’s /husband’s

    name, age residential address and office & residential phone numbers are to be

    indicated.

b) In case of partnership concern, the Photostat copy of the Registered Partnership Deed

    to be enclosed. The Partnership Deed should state specifically that a particulars

    partner or partners are authorized to deal with any matter of Firm/Company.

    International Spa & Health Club of repute with at least one spa operational in India

    with emphasis of Destination Spa. Details of Spa should be included in the Technical

    Bid The Group Turnover of the aspirant tenderer should not be less than Rs.50 Crore

    per annum for last three years.

f) A declaration may be submitted by the authorized signatory lf the tender that no

    change in the status of sole proprietorship/Hindu Undivided

    Family/Partnership/Company (as the case may be) will take place from the date of

    submission of tender and during currency of the license agreement, if entered into

    with them. In case after allotment, any change is necessary in the overall interest of

    the business/purpose of which the premises is licensed, it will be with the prior

    written approval of the Company/Licensor, failing which the license agreement will

    be terminated at the sole discretion of the Company/Licensor. It is also to be certified

    that there is no criminal record of the tenderer / applicant /

    proprietor/Managers/Partners/Directors or their close relatives affecting the

    business/profession under this license.

g) If the tenderer is presently dealing with any of the PAHCL/ITDC units, he shall

    furnish clearance from the concerned Units as on date of submission of the tender.

H) The Receipt for purchase of Tender Form from the Hotel may also be enclosed with

    this application/tender.

    ANNEXURE II

    PONDICHERRY ASHOK HOTEL CORPORATION LIMITED

    (A Joint Venture of ITDC & PIPDIC)

    IMPORTANT INFORMATION, ELIGIBILITY CRITERIA

    AND TERMS & CONDITIONS OF TENDER

1. The tenderer should have minimum 3 years past experience of managing / operating /

    running at least one Spa in India with emphasis on Destination Spa & International

    Standard Spa & Health Club of repute including a Swimming Pool.

2. The site of International Standard Residential Destination Spa is located at the

    premises of Hotel Pondicherry Ashok measuring approximately 2 Acres of land

    adjacent to Hotel’s Main Building at Kalapet.

     The facilities to be provided in Spa shall consist of rejuvenating Spa, Body Treatment,

    Beauty Therapy, Steam Bath, Sauna Bath, Gym, Jacuzzi , Massage, Yoga, Aerobies

    and Swimming Pool for ladies and gents both along with 12-15 Cottage/Guest rooms

    which is to be constructed by the licensee. The Tenderer may inspect the premises

    on any working day between 11.00 A.M to 4.00 P.M.

    3. The TENDER’s SHOULD BE SUBMITTED IN THE ENCLOSED PRESCRIBED

    FORM only. The initial period of license will be 20years which may be extended by

    mutual agreement.

4. The tender form completed in all respects, in sealed envelope superscripted

    “TENDER FOR INTERNATIONAL STADARD DESTINATION SPA & HEALTH

    CLUB” addressed to The General Manager, Hotel Pondicherry Ashok be put in the

    Tender Box placed in the Security Control Room on or

    before___________________2007 by 15.00HRS. The Management shall not be

    responsible for any loss or delay in receipt of the tender by post.

    The tender shall be opened at 1600 Hrs on __________________2007 at the Hotel

    Pondicherry Ashok, ___________________________in the presence of the tenderers

    or their representatives who may like to be present. The representatives must bring

    Authority Letter from the tenderer/applicant, failing which they will not be permitted

    to participate.

    The Company/Licensor reserves the right to extend last date for receipt/date of

    opening of tender for a period not exceeding thirty (30) days.

5. The tenderer shall submit Financial Bid as well as Technical Bid with enclosures in

    separate sealed covers, which may be put together in main sealed cover. Management

    will first open the Technical Bid. The tenderers who will be found technically

    suitable, based on technical details and assessment of their presentation of the

    proposals, will only be considered for Financial Bid. The Corporation reserves the

    right to ask for a presentation from the party as part of the Technical Bid analysis.

    The set of papers containing instructions/Terms & Conditions of the tender may be

    signed on each page by the tenderer and shall be submitted with the tender form in

    token of acknowledgement of the tenderers having read and accepted the same.

6. Each tenderers shall deposit Rs.6,00,000/- (Rupees Six Lakh Only) towards Earnest

    Money Deposit (EMD) in the form of a Bank Draft drawn on any nationalized Banks

    in favour of HOTEL PONDICHERRY ASHOK PAYABLE AT PUDUCHERRY, the

    draft shall be enclosed with the tender of technical bid. The Tenders received without

    accepted toward EMD.

7. Earnest Money Deposit of unsuccessful tenderers shall be refunded after expiry of

    validity period of the tender. In the case of “successful” tenderer, EMD will be

    adjusted towards the “Security Deposit”. The EMD may be forfeited in case the

    “Successful” Tenderer refuses to accept the award of license or fails to complete the

    required formalities or occupy the premises on any account within the stipulated

    period or delay in starting the operations beyond the permitted time under the license.

8. The tenderer shall offer their best annual license fee in figures as well as in words

    clearly.

     The successful tenderer shall pay all taxes in force at present or that may be levied by

    the appropriate authorities from time to time during the license period.

9. The tender shall submit certificate from their bankers about their sound financial

    background and credit worthiness.

10. The Corporation shall award the License on “As is where is” basis.

11. The Corporation also reserves the right to reject any or all the tender(s) at any stage

    without assigning any reason whatsoever.

12. The Tenders shall be opened for acceptance by the company up to 90 days from the

    date of opening /extended date of opening. The parties quoting for the International

    Standard Residential Destination Spa shall have no option but to accept the offer in

    case it is decided by the Company to license the International Standard Residential

    Destination Spa in their favour. The tender documents itself is a valid document for a

    period of 90 days. In the event of refusal, the Corporation shall have the sole

    discretion for the forfeiture of the earnest money deposit.

    13. The “Successful” tenderer shall be called upon to sign a valid License deed as per

    Annexure-III (Draft License Agreement) within one month from the date of

    acceptance. License Agreement will be signed on a non-judicial stamp paper of

    rupees hundred denomination. This is a mandatory requirement and the “Successful”

    tenderer shall comply with it forthwith when called upon to do so. The License

    Agreement once executed shall be binding on both parties. However, if the Licensor

    at any point of time wishes to amend the license agreement the same shall be if the
